If you are provided with credentials to the LP Portal, you are responsible for maintaining their confidentiality and for all activity that occurs under your credentials. You must promptly notify us at [email protected] of any actual or suspected unauthorized use.

• Attempt to gain unauthorized access to any portion of the Site, other users' accounts, or connected systems

• Reverse engineer, decompile, or scrape the Site except as expressly permitted by applicable law
• Frame or mirror any portion of the Site without express written consent

6. Confidentiality of LP Portal Content

Content available in the LP Portal, including capital account statements, quarterly reports, investment memoranda, and side-letter documents, is confidential and subject to the confidentiality provisions of your Subscription Agreement and Limited Partnership Agreement. You may not disclose, reproduce, or distribute LP Portal content except as expressly permitted.

7. Third-Party Links

The Site may link to third-party websites. Senioa Life does not control and is not responsible for third-party sites, their content, or their privacy practices. Your use of any third-party site is at your own risk.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Senioa Life does not warrant that the Site will be uninterrupted, secure, or error-free, or that content is accurate, complete, or current.

10. Indemnification

11. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Site.

12. Modifications

Senioa Life may modify these Terms at any time by posting a revised version on the Site. Continued use of the Site after posting constitutes acceptance of the revised Terms.

13. Termination

Senioa Life may suspend or terminate your access to the Site or the LP Portal at any time, with or without cause, and with or without notice. Sections that by their nature should survive termination will survive.

14. Entire Agreement

These Terms, together with the Privacy Policy, the Investor Disclosures, and the Legal Notices, constitute the entire agreement between you and Senioa Life regarding the Site.
